This Master Service Agreement ("Agreement") is between Sidgrows LLC, a Wyoming limited liability company ("Provider"), and the party engaging Provider's services ("Client").
Provider operates autonomous content generation, trend detection, and digital commerce systems. Services may include: AI-generated content production, social media management, affiliate commerce optimization, data intelligence, and workflow automation.
Specific services, deliverables, timelines, and compensation are defined in individual Statements of Work ("SOW") executed under this Agreement. Each SOW is incorporated by reference.
All systems, workflows, automation pipelines, AI models, scoring algorithms, and operational methodologies remain the exclusive intellectual property of Sidgrows LLC. Client receives output deliverables only. No license to underlying systems is granted.
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. Provider's system architecture, pipeline specifications, and operational methods are trade secrets protected under Wyoming law.
Provider processes data in accordance with our Privacy Policy. Client data is used solely for delivering contracted services. Provider does not sell or share Client data with third parties except as required for service delivery (e.g., platform APIs).
Payment terms are defined in individual SOWs. Standard terms: Net 15 from invoice date. Late payments accrue interest at 1.5% per month.
Provider's total liability under this Agreement shall not exceed the fees paid by Client in the 12 months preceding the claim. Provider is not liable for indirect, consequential, or incidental damages.
Either party may terminate with 30 days written notice. Outstanding SOWs remain in effect through their completion or separate termination.
This Agreement is governed by Wyoming law. Disputes shall be resolved through binding arbitration in Wyoming.
